Welcome to Boundeal

By accessing and using Boundeal’s Services (the “Services”), you (“you” or “User”) (i) agree to comply with and be bound by these Boundeal Terms of Use (the “Terms”) and Boundeal Privacy Policy, (ii) you confirm that you have reached the age of 18 and have full legal capacity.

The Services are provided by BOUNDEAL INC. (“we” or “Boundeal”).

The Services include your access to and use of Boundeal software, including Boundeal secure storage, data exchange, and collaboration platform (the “Boundeal platform”), Boundeal websites: boundeal.com and app.boundeal.com (the “Websites”), Boundeal domains, and related services.

If you disagree with the Terms and/or Boundeal Privacy Policy or if you are under the age of 18 and/or do not have full legal capacity, please refrain from accessing and using the Services.

Access to the Services. Account​

Boundeal offers a secure, customizable virtual data room solution, enabling encrypted file storage, collaborative workspaces, secure sharing of documents, audit trails, and access controls. Boundeal platform may include additional tools such as automated notifications, watermarking, and user-specific permissions to enhance secure document management.

For accessing and using the Services you shall create a personal account with Boundeal (the “Account”). You agree to submit accurate, current, and complete information about you and promptly update such information.

You agree and understand that you are responsible for maintaining the confidentiality of all usernames and passwords associated with the Account you use to access the Services. You are entirely responsible for any and all activities that occur under use of your Account, whether or not you authorized such use.

You may not use anyone else’s Account at any time, without the permission of such Account holder.

If Boundeal suspects that such information is untrue, inaccurate, not current, or incomplete, Boundeal has the right to suspend or terminate your usage of the Services.

Boundeal is not liable for any harm caused or related to the theft or misappropriation of your username, password, user content, disclosure of your username or password, or your authorization of anyone else to use your username or password. However, you could be liable for losses incurred by Boundeal or another party due to someone else using yourAccount or password. If you become aware of any unauthorized use of your password or your Account, please notify Boundeal immediately at marketing@boundeal.com.

Boundeal gives no warranties as to the accessibility, performance, or availability of the Services. Temporary suspension of access to the Websites or the Services may occur without notice at our discretion including without limitation in the case of repair, maintenance, system failure, or for reasons beyond our control. Boundeal reserves the right to suspend the operation of the Services. Boundeal shall not be liable if the Services are not available for any period or any time.

You agree that neither Boundeal nor its third-party providers will be liable to you in any way for the termination, suspension, interruption, or delay of the Services.

User Content

While using the Boundeal platform and/or the Services User may upload content, documents and other materials to the Boundeal platform (the “User Content”).

Boundeal does not review, inspect, edit, or monitor any User Content, including, without limitation, for viruses, worms, “Trojan horses” or any other similar contaminating or destructive features. Boundeal reserves the right, solely upon its discretion, to refuse, remove or disable access to User Content stored on the Boundeal platform and/or Boundeal servers that Boundeal determines may be illegal or in violation of these Terms, although Boundeal has no obligation to monitor or act. You are solely responsible for protecting the information on your computer or your other devices for example, by installing anti-virus software, updating your software, password-protecting your files, and not permitting third-party access to your computer.

You represent and warrant that you have the legal right, ownership, or proper license to use and upload any User Content that you upload, and that such User Content does not violate the intellectual property rights, including but not limited to copyrights, trademarks, and patents, of any third party.

Subject to the Terms and applicable laws and regulations, your User Content may be used in any manner that you have authorized. It is your sole responsibility to determine what limitations are placed on your use of the User Content distributed within the Services. If you obtain unauthorized access to materials created or used by others outside of your working group in conjunction with the Service, you have no right to use such materials in any way. You also acknowledge and agree that Boundeal has no liability of any kind should members of your working group, other persons who you have allowed to have access to your User Content or any third party modify, destroy, corrupt, copy, or distribute your User Content.

Boundeal does not own any User Content and will not monitor, edit, or disclose any information regarding you or your Account, including any User Content, without your prior permission except in accordance with the Terms.

Intellectual Property

You retain ownership of your User Content you upload. Boundeal only accesses or uses your User Content as necessary for providing the Services.

All software, trademarks, logos, and other intellectual property Boundeal provides to you in respect for provision of the Services remain the property of Boundeal. You are granted a limited, non-transferable license to use the software, trademarks, logos, and other intellectual property Boundeal strictly as needed for the provision of the Services.​

User representation and warranties

By accessing or using the Services or any related components, You represent and warrant that:

Boundeal reserves the right, at its sole discretion, to immediately terminate or suspend your access to the Services, without prior notice, if it discovers or reasonably suspects that:

You agree to immediately notify Boundeal in the event of any changes to the representations and warranties provided in this section, and acknowledge that failure to comply may result in the suspension or termination of access to the Services or other legal actions.

Your Responsibilities and Compliance. Prohibited Activities

You agree to use the Services solely for their intended purposes. Unauthorized access, misuse of accounts, or engagement in illegal or harmful activities is strictly prohibited.

You are prohibited from accessing another user’s account, uploading harmful files, or attempting to disrupt the Services.

Attempts to interfere with the Boundeal platform, exploit vulnerabilities, or bypass security measures may lead to the Account termination and legal action.​

Security Measures

At Boundeal, we are committed to utilizing all available and necessary measures to ensure that the Services operate smoothly and without any weaknesses.

However, no password-protected system of data storage and retrieval can be made entirely impenetrable. Accordingly, you hereby acknowledge and accept that no computer or information system is invulnerable, it may be possible for an unauthorized third party to access, view, copy, modify, and distribute the data and files you store in the Account.

You agree that Boundeal will not be liable to you in any way for any vulnerabilities discovered and will patch them within a reasonable time.

You agree that should you discover any vulnerability or a defect you will immediately report such vulnerability or defect to marketing@boundeal.com and maintain any information regarding the discovery of vulnerability or a defect in strict confidence and not disclose it to any third party.

Service Availability and Disclaimer

Boundeal strives to provide the Services uninterrupted but may suspend access due to maintenance, system failures, or reasons beyond our control. We do not guarantee constant availability.

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, and Boundeal hereby expressly disclaims any and all implied warranties, including, but not limited to, those of merchantability, fitness for a particular purpose. You agree that the Services may contain technical inaccuracies or typographical errors.

Limitation of Liability

Boundeal is not liable for any incidental, indirect, or consequential damages, including loss of revenue or business interruption. The aggregate liability is limited to an amount equivalent to the payment for 2 (two) months of Services provided to the User under the signed contract with such User.

Indemnity

You agree to indemnify Boundeal against any claims resulting from your User Content uploaded to the Boundeal platform, your misuse of the Services, or your violation of the Terms.

Fees and Payment Terms

Fees and Payment Terms are provided at registration and are determined in the corresponding signed agreement between the User and Boundeal.

You agree to adhere to subscription terms, including renewal and cancellation policies, as specified in the signed agreement.

Refunds are not typically offered unless otherwise stated in the agreement.

Subscriptions purchased by the User provide limited access to the Services, as outlined in the agreement.

Termination of Services

Boundeal may terminate or suspend access to your Account if you violate the Terms. Upon termination or suspending access to your Account, all licenses granted hereunder will immediately cease.

You may also terminate your use of the Services. No refunds are granted upon voluntary termination.

Changes to the Terms

Boundeal may change these Terms at any time by posting the amended Terms of Use on the Websites. Your continued use of the Websites, Services and/or Boundeal Platform after such amendments constitutes acceptance of the new Boundeal Terms of Use. Boundeal may but is not obliged to, notify you about material changes to Boundeal Terms of Use to the email address. Please check Boundeal Terms of Use published on the Websites at boundeal.com and/or app.boundeal.com regularly to ensure that you are aware of all terms governing your use of the Websites, the Boundeal platform, and/or the Services.

Privacy

Boundeal processes personal data according to Boundeal Privacy Policy.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the state of Delaware.

All disputes shall be referred to a competent court in the state of Delaware.

Feedback and Suggestions

Boundeal values your feedback and suggestions regarding the Boundeal platform and the Services. Any feedback, comments, or suggestions you provide are entirely voluntary, and you grant Boundeal a worldwide, non-exclusive, irrevocable, royalty-free, perpetual, sublicensable, and transferable license to use, modify, adapt, reproduce, distribute, publish, and display the feedback for any purpose without any obligation to you.

You acknowledge that any feedback you provide may be visible to other Services users, and you should not include confidential or proprietary information in your feedback.

Your feedback helps us improve our Services, but we do not guarantee that any specific feature or modification you suggest will be implemented. Boundeal is not obligated to implement, use, or respond to your feedback. We reserve the right to disregard or reject any feedback for any reason.
